华为联合收购3COM引发美国忧虑

美国政府可能将以国家安全为由，对3Com收购案进行详细审查。中国电信设备制造商华为技术有限公司(Huawei Technologies)与美国私人股本公司贝恩资本(Bain Capital)昨日宣布，将联合收购美国网络设备集团3Com。
  Washington is expected to scrutinise on national security grounds yesterday’s joint acquisition of 3Com, the US networking group, by Huawei Technologies, a Chinese telecoms equipment maker, and Bain Capital, the US private equity firm.

   
据内部人士透露，这笔交易的金额为现金22亿美元。贝恩将控制80%以上的股权，而华为的股权将保持在20%以下。
The deal is worth $2.2bn in cash. Bain will take a stake of more than 80 per cent, while Huawei’s ownership will remain below 20 per cent, insiders said.

   
3Com的产品之一，是一种“侵入预防”技术，可以帮助包括美国国防部在内的客户来抵御黑客。美国国防部认为，中国人民解放军的黑客今年对五角大楼策动了大规模的网络攻击。
Among 3Com’s products is an “intrusion prevention” technology that helps clients, including the US defence department, defend themselves against hackers. The Pentagon believes Chinese Peoples’ Liberation Army hackers were responsible for a massive cyberattack on it this year.

   
美国国防部发言人布赖恩•惠特曼 (Bryan Whitman)称，他没有听到任何对华为入股3Com的担忧。
Bryan Whitman, a Pentagon spokesman, said he was “not aware of any concern” over Huawei taking a stake in 3Com.

   
但美国国防部前网络安全专家、网络防御机构(Cyber Defense Agency)首席执行官萨米•塞佳里(Sami Saydjari)表示，华为拥有硬件和重要的网络构成，这将“非常令人担忧”。
But Sami Saydjari, a former Pentagon cybersecurity expert and currently chief executive of Cyber Defense Agency, said Huawei’s ownership of hardware and important network components would be “really worrisome”.

   
科温顿•柏灵律师事务所(Covington & Burling)律师、美国司法部前官员克里斯托弗•西姆金斯(Christopher Simkins)表示：“任何与中国相关的交易只要事关政府信息科技系统，都将成为美国外国投资委员会(Cfius)详细调查的对象，以小股东身份参加交易也不例外。”
“Any Chinese-related deal that touches on government IT systems, even in a minority capacity, is going to be something that the Committee on Foreign Investment [Cfius] looks at closely,” said Christopher Simkins, an attorney at Covington & Burling and former US justice department official.
